Real Estate and Construction
DETAIL has expertise in all aspects of Real Estate in Nigeria including Sales; Leases & Acquisition; Real Estate Investment Trusts (REITS); Development & Construction Projects and Lending & Securitization. Some recent transactions in this area are:
- Real Estate Foreign Direct Investment: Advising a U.S. company on transaction structure and in negotiations for direct investment and redevelopment of its real estate portfolio in Nigeria. This project was valued at 150million USD.
- Beulah Acres: A multi-party Joint Venture Residential Real Estate Investment Scheme utilizing a Special Purpose Vehicle.
- Warri Industrial Park: A 320million USD urban regeneration project involving the Delta State Government and a group of private investors aimed at establishing a first class Business and Residential facility on the outskirts of Warri, Delta State.
- Real Estate Portfolio Acquisition: Superintending a confidential direct foreign investment to acquire a Nigerian real estate portfolio in excess of 100million USD over a 36 month period.
Oil & Gas
DETAIL has serviced operators and marketers in the Industry with clients such as Addax, Chevron and Total. We have also advised confidential clients on the following:
- Nigerian Marginal field acquisitions;
- A European oil major on contracts relating to Gas to Power conversion opportunities in Nigeria; and
- Due diligence for a confidential client and propective Farmee on an Oil block.
POWER
DETAIL has been involved in different aspects of the power industry including gas to power conversion; carbon credits; regulatory review and more. Some of our work in this area includes:
- Legal Consultants to the Nigerian Electricity Regulatory Commission (NERC) - the Federal Electricity Regulator - in developing the network transmission Agreements to create a seamless framework for the administration and regulation of power transmission in Nigeria.
- Advising Agbara Estates Limited on Gas Supply & Purchase agreements with Shell Nigeria Gas (SNG).
- Advising the Manufacturers Association of Nigeria (MAN) on Gas Supply & Purchase Agreements with Shell Nigeria Gas and Rivers State Ministry of Power.
- Start Up Advisory: Procuring an Independent Power Producer's (IPP) licence for Coronation Power Limited.
PROJECT FINANCE, INFRASTRUCTURE AND PUBLIC PRIVATE PARTNERSHIPS

- Badagry Resort Project: Advising a U.S. company in its negotiations with the Lagos State Government for a public private partnership scheme aimed at developing a Resort Centre for a historic coastal town.
- Lagos Urban Light Rail: Advising the Lagos Metropolitan Area Transport Authority on the first State Government Urban Light Rail concession in Nigeria
- FERMA Road Maintenance Concessions: Advising the Federal Roads Maintenance Agency on Nigeria's first Federal road maintenance concession.
- Greater Port Harcourt Authority Law: Reviewing the Draft Law establishing the Greater Port Harcourt Authority.
- State & Federal PPP Regulations: Advising on the institutional and regulatory framework and drafting PPP regulations at Federal and State Government levels.
INTELLECTUAL PROPERTY, TECHNOLOGY, MEDIA AND ENTERTAINMENT

- Project Famecorp: Advising on the establishment of a mega entertainment company (FameCorp Limited) inspired by artists to pioneer industry innovation, increase global branding of Nigeria's cultural products, and act as a profit centre for Nigerian artistes.
- The Firm is also currently advising an offshore Company with proprietary interests on a popular T.V Game show on Nigerian T.V (Zain Africa Challenge) on their Intellectual Property and Corporate Commercial issues.

- Imo State N40 Billion Naira Infrastructure Bond - Solicitor to the Trustee.
- Kaduna State N15 Billion Naira Infrastructure Bond - Solicitor to the Trustee.
- Advising Nalby Cie SA - the core investor - on the acquisition of West African Glass Industry.
- West Africa Glass Industry PLC - a simultaneous offer of shares by private placement/rights issue worth N679.8 million - Solicitor to the Company.
- Champion Breweries Rights Issue worth N1.5 Billion - Solicitor to the Company.
- Restructuring by Asset Transfer for a Food & Beverage Manufacturing Conglomerate: By treating the real assets separately in the Scheme and convincing the Securities & Exchange Commission (SEC) to accept a transaction application from a law firm (not a Financial Adviser or Issuing House as was the norm), DETAIL saved the client upwards of 5 Million USD. This transaction set the precedent for Nigerian law firms to file transaction applications before SEC.
- West African Glass Industry Creditors Scheme: DETAIL‘s successful structuring and negotiation of this creditors scheme that went through SEC rescued a near moribund company.
